Acquisition Complete: The Walt Disney Company Now Owns 21st Century Fox

The Press Release:
The Walt Disney Company (NYSE:DIS) and Twenty-First Century Fox, Inc. (“21CF”) (NASDAQ: TFCFA, TFCF), in connection with Disney’s acquisition of 21CF (the “Acquisition”), announced today that the per share value of the Merger Consideration (as defined below) has been calculated in accordance with the Merger Agreement (as defined below) to be $51.572626 (the “Per Share Value”. See footnote1). The Acquisition will become effective at 12:02 a.m. Eastern Time tomorrow, March 20, 2019.

At the effective time of the Acquisition, each share of 21CF common stock will be exchanged for $51.572626 in cash (the “Cash Consideration”) or 0.4517 shares of common stock of TWDC Holdco 613 Corp., the holding company that will own both Disney and 21CF following the Acquisition (“New Disney”) (the “Stock Consideration”, and together with the Cash Consideration, the ”Merger Consideration”), subject to election, proration and adjustment procedures set forth in the Amended and Restated Agreement and Plan of Merger(the “Merger Agreement”), dated as of June 20, 2018, by and among 21CF, Disney, New Disney, and certain of Disney’s other subsidiaries. The number of shares of New Disney common stock comprising the Stock Consideration was determined by dividing the Per Share Value by $114.1801, which was the volume weighted average trading price of a share of Disney common stock on the New York Stock Exchange over the fifteen consecutive trading day period ending on (and including) March 15, 2019.

The Black Keys Announce “31” Date North American Tour

The Independent Rock Duo The Black Keys have just confirmed an expansive tour and if you’re a fan of the guys you are going to want to read this press release that we received not too long ago here at the Media Command HQ. Take a look.

This morning, The Black Keys confirm their extensive, thirty-one-date arena tour of North America. The “Let’s Rock” Tour will hit cities including Chicago, Nashville, New York, Los Angeles, and Austin (full dates below). Special guests Modest Mouse will provide support on all dates, and Shannon & The Clams, *repeat repeat, and Jessy Wilson will each open select shows on the tour. Tickets for all dates go on sale to the general public beginning Friday, March 22 at 10 AM local time here.

The 31-city outing will kick off September 23 in Denver, CO and will make stops in Chicago, Nashville, Atlanta, Austin, Los Angeles and more before wrapping November 24 in Vancouver, BC.

To ensure tickets get in to the hands of fans and not scalpers or bots, the tour has partnered with Ticketmaster’s Verified Fan® platform. Fans can register now through Sunday, March 17 at 10pm EST HERE for the Verified Fan presale. Registered fans who receive a code will have access to purchase tickets before the general public on Tuesday, March 19 at 10am local time through Thursday, March 21 at 10pm local time.

Tribeca Film Festival 2019 Announces Short Film Lineup

A few days ago, I shared the press release about the 2019 Tribeca Film Festival feature films. The Press Release:
The 18th annual Tribeca Film Festival, presented by AT&T, today announced its 2019 lineup of 63 diverse and engaging short films in competition, including 31 world premieres. This year’s shorts program includes a cross-section of international and U.S. filmmakers, curated from a record 5131 submissions with female filmmakers directing 45% of the selections. The short films will be presented in 11 distinct competition programs, consisting of six narrative, four documentary, and one animation program. There will also be special screening programs for the annual Tribeca/ESPN Sports Film Festival and the debut of shorts from The Queen Collective, a program aimed at accelerating gender and racial equality behind the camera. The 2019 shorts lineup is programmed by Sharon Badal and Ben Thompson. The 2019 Tribeca Film Festival takes place April 24 – May 5.

“We spent a great deal of time curating programs that reflect the diverse interests of our audiences,” said Sharon Badal, Vice President of Filmmaker Relations and Shorts Programming. “This year we emphasize identity, community, and humanity while also entertaining our audience with some laughter, fun, and adventure.”

Tribeca Film Festival 2019: Spotlight Documentary

Earlier today, the Feature Films for the 2019 Tribeca Film Festival were announced in a MASSIVE press release that ran something like sixteen pages (seen HERE). In order to let you properly digest all of the films in each of the diverse categories, I’ve parsed them out into their own chapters on “The Chronicles”. Let’s take a look at the Spotlight Documentary Category.

SPOTLIGHT DOCUMENTARY

Documentaries consistently make waves at Tribeca as notable filmmakers and major stories are represented in this section through high-profile premieres.
